Designation of Eligible Dividends

Equitable Group Inc., for the purposes of the Income Tax Act (Canada), and any similar provincial and territorial tax legislation, advises that all of its dividends paid to Canadian residents on common or preferred shares in 2006 are eligible dividends and all dividends paid thereafter will be eligible dividends unless indicated otherwise.

Dividend Restrictions

Equitable Group Inc. is prohibited by the Business Corporations Act (Ontario) from declaring dividends on its preferred or common shares if there are reasonable grounds for believing that (a) Equitable Group Inc. is, or the payment would cause Equitable Group Inc. to be, unable to pay its liabilities as they become due, or (b)  the realizable value of Equitable Group Inc.’s assets would thereby be less than the aggregate of, (i) its liabilities, and (ii) its stated capital of all classes. Equitable Group Inc. does not anticipate that this condition will restrict it from paying dividends in the normal course of business.

Dividend Reinvestment Plan

The Dividend Reinvestment Plan offers eligible Shareholders the opportunity to reinvest Dividends payable in respect of their Common Shares by purchasing additional Common Shares directly from the Company at a discount of 3% from the Average Market Price on the applicable Dividend Payment Date.

Under the Plan, Equitable Group Inc. will pay The Computershare Trust Company of Canada (Plan Agent), on or before each Dividend Payment Date, all Dividends in respect to Common Shares registered in the name of the Participants enrolled in the Plan.  These Dividends will be applied by the Plan Agent, on behalf of the Participants towards the purchase from treasury on the applicable Dividend Payment Date, of that number of Common Shares equal to the aggregate amount of the Dividends divided by the Average Market Price, less any applicable discount, for the corresponding pricing period. 

Beneficial Shareholders, who hold Equitable Group Inc. Common Shares in an account with a broker, financial institution or other intermediary, should consult their intermediary if they wish to participate in the Plan. U.S. resident non-registered Shareholders who hold Equitable Group Inc. Common Shares through an intermediary will be required to have such shares transferred into their own name or into a specific segregated registered account with an intermediary, with the concurrence of such intermediary, in order to become a participant in the Plan.

There are no brokerage or administrative fees charged by Equitable Group Inc. or The Computershare Trust Company of Canada or such other agent as may be appointed from time to time (the "Plan Agent") for participation in the Plan.

For Participants residing in Canada, dividends reinvested are taxable in the same manner as cash dividends and as such currently benefit from the dividend tax credit. Shareholders should consult their tax advisers about the tax consequences that will result from their participation in the Plan.   At present, only Canadian residents can participate in the Dividend Reinvestment Plan.
